These Organization & Admin Terms of Service (“Admin Terms”) govern access to and use of the Eternal Applications administrative platform (the “Admin Portal”) by organizations and their authorized representatives. By accessing or using the Admin Portal, you acknowledge that you are acting on behalf of a legal entity and agree to be bound by these Admin Terms on behalf of that entity (“Organization”).

1. Parties and Relationship

These Admin Terms constitute a business-to-business agreement between Eternal Applications, Inc., a Delaware corporation (“Eternal”), and the Organization. Nothing in these Admin Terms creates a partnership, joint venture, agency, or fiduciary relationship. The Organization and Eternal are independent contractors.

2. Scope of Services

Eternal provides a hosted software platform that enables Organizations to:

• Manage patient or end-user accounts
• Configure branding and white-label presentation
• Manage content workflows
• Access usage analytics and reporting
• Administer authorized users and permissions

Eternal may modify, update, or enhance the Admin Portal from time to time in its discretion.

3. Authorized Administrators

The Organization is solely responsible for:

• Designating authorized administrators (“Admins”)
• Ensuring Admin credentials are kept secure
• Revoking access promptly when an Admin is no longer authorized

All actions taken through the Admin Portal using an Organization’s credentials are deemed actions of the Organization.

4. Organization Responsibilities

The Organization represents and warrants that it:

• Has lawful authority to invite, manage, and administer users on the platform
• Will use the Admin Portal only for legitimate organizational purposes
• Will comply with all applicable laws and regulations
• Will not misuse analytics, data access, or administrative controls
• Will not misrepresent the nature of the platform to end users

The Organization is solely responsible for how it uses the Admin Portal and for any consequences arising from such use.

5. White-LabelUse and Branding

Eternal may permit the Organization to present patient-facing portals under the Organization’s branding (“White-Label Use”).

White-Label Use:

• Does not transfer ownership of the platform
• Does not grant IP rights
• Does not permit removal of required legal attribution
• Does not permit representing the platform as proprietary to the Organization

Eternal retains all rights, title, and interest in theplatform.

6. Data Access and Responsibility

Admins may have access to patient or end-user information strictly for administrative purposes.

The Organization:

• Is responsible for ensuring proper authorization before accessing or managing user data
• Acknowledges that Eternal is not responsible for the Organization’s internal data practices
• Agrees not to misuse, export, or exploit data beyond permitted platform functionality

7. Intellectual Property

All software, technology, interfaces, workflows, analytics,and documentation are the exclusive intellectual property of Eternal.
Any feedback, suggestions, or recommendations provided bythe Organization or its Admins may be used by Eternal without restriction orobligation.

8. Suspensionand Termination

Eternalmay suspend or terminate Admin access immediately if:

• These Admin Terms are breached
• Platform security is threatened
• Misuse or abuse is detected
• Required by law or regulation

Upon termination:

• Admin access will cease
• Certain data may remain retained for legal or operational purposes

9. Disclaimers

THE ADMIN PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.”
ETERNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETERNAL SHALL NOT BELIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGESARISING FROM USE OF THE ADMIN PORTAL. ETERNAL’S TOTAL LIABILITY SHALL NOT EXCEED FEES PAID BY THE ORGANIZATION, IF ANY, IN THE PRECEDING TWELVE (12) MONTHS.

11. Indemnification

The Organization agrees to indemnify and hold harmlessEternal from claims arising from:

• Misuse of the Admin Portal
• Unauthorized data access
• Violations of law by the Organization or its Admins
• Misrepresentation to end users

12. Governing Law and Venue

These Admin Terms are governed by the laws of the State of Delaware.
Exclusive venue lies in state or federal courts located in Delaware.

13. Changes to These Terms

Eternal may update these Admin Terms from time to time. Continued use of the Admin Portal constitutes acceptance of updated terms.
